Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Tradorian (the "Service"), operated by Hervis Holdings LLC ("we", "us"). By creating an account or using the Service you agree to these Terms. If you don't agree, don't use the Service.

2. Educational use only

Tradorian is an educational tool. Nothing in the Service is a recommendation, solicitation, or offer to buy, sell, or hold any security, derivative, or other financial instrument. We are not a registered investment adviser, broker-dealer, futures commission merchant, commodity trading adviser, or tax professional, and we are not registered with the U.S. Securities and Exchange Commission, FINRA, the CFTC, the NFA, or any state securities regulator. Paper trades and simulated portfolios are not real trades, do not reflect actual market execution, and any "P&L," "win rate," or "score" they generate is illustrative only. You are solely responsible for any decisions you make with the information presented in the Service. Trading involves substantial risk of loss and is not suitable for everyone.

3. AI-generated content

Portions of the Service — including the AI coach, trade autopsy, drill grading, rule-book scoring, and lesson commentary — are generated by large language models (currently Anthropic's Claude family). AI output:

4. Your account

You must be at least 18 years old to create an account. You're responsible for keeping your credentials confidential and for everything that happens under your account. Tell us right away if you believe your account has been compromised.

5. Billing & trials

The Service offers a free trial period (currently 7 days). After the trial ends, continued access requires an active paid subscription. Subscriptions renew automatically until canceled. You can cancel anytime through the in-app billing portal; cancellation takes effect at the end of your current billing period.

Each paid subscription includes a 30-day money-back guarantee on the first payment. If the Service is not useful to you during your first 30 days as a paying customer, contact hello@tradorian.com and we will refund that first payment. After the guarantee window, we do not provide refunds for partial periods except where required by law.

All payments are processed by Stripe. We don't see or store your full card number.

6. Acceptable use

You agree not to (a) reverse-engineer, scrape, or otherwise extract bulk data from the Service except as allowed by these Terms; (b) use the Service to harass, defame, or harm anyone; (c) attempt to gain unauthorized access to other users' accounts or the Service's infrastructure; (d) use the Service to violate any applicable law.

7. Your data

You retain ownership of the trading drills, journal entries, paper trades, and other content you submit. You grant us a worldwide, non-exclusive license to use that content solely to operate and improve the Service. We will not sell your personal data. 8. Intellectual property

The Service — including the curriculum, drill content, software, design, and "Tradorian" name and logo — is owned by us or our licensors and is protected by copyright, trademark, and other laws. Nothing in these Terms transfers any of those rights to you.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Market data shown in the Service comes from third-party providers and may be delayed, inaccurate, or unavailable. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total liability for any claim arising out of or related to these Terms is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or $100, whichever is greater.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms or if we are required to do so by law. We will use reasonable efforts to give you notice before doing so unless an emergency or legal requirement makes that impossible.

12. Binding arbitration & class-action waiver

Please read this section carefully. It limits how disputes between you and Hervis Holdings LLC can be brought.

Agreement to arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") that cannot be resolved through good-faith informal negotiation will be resolved by binding individual arbitration administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures, except as modified by this section. The arbitrator — not any federal, state, or local court — has exclusive authority to resolve any Dispute, including any claim that all or part of this section is unenforceable.

Class-action and jury-trial waiver. You and we each waive the right to a trial by jury and the right to participate in a class action, collective action, private attorney-general action, or any other consolidated proceeding. Disputes must be brought in an individual capacity only. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding.

Where and how. Arbitration will be conducted in English in Miami-Dade County, Florida, USA, or by video conference at the arbitrator's discretion. The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., governs the interpretation and enforcement of this section.

Small-claims carve-out. Either party may bring an individual claim in small-claims court instead of arbitration, so long as the claim qualifies and remains in that court.

Opt-out. You may opt out of this arbitration agreement by emailing hello@tradorian.com with the subject line "Arbitration Opt-Out" within 30 days of first creating your account. Your email must include your full name, the email on your account, and a statement that you wish to opt out. Opting out has no effect on the rest of these Terms.

30-day pre-arbitration notice. Before initiating arbitration, the party raising the Dispute must send a written notice describing the claim and the relief sought to the other party (for claims against us, by email to hello@tradorian.com) and allow 30 days for informal resolution.

13. Governing law & jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to the binding-arbitration agreement in Section 12, any action arising out of or relating to these Terms that may be brought in court (e.g., to enforce an arbitration award or to seek injunctive relief in aid of arbitration) must be filed exclusively in the state or federal courts located in Miami-Dade County, Florida, and you and we consent to the personal jurisdiction of those courts.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after the changes take effect means you accept the new Terms.
